1. About us and acceptance

Compass is a grant application service and secure client portal operated by Funky Monkey Barry Ltd, a limited company based in the United Kingdom trading as "Compass" ("we", "us", "Compass"). These terms form a contract between you and Funky Monkey Barry Ltd. By creating an account, subscribing or continuing to use Compass, you agree to these terms. If you are agreeing on behalf of a charity or other organisation, you confirm you have authority to bind it.

2. Using the portal

Access to the portal is granted to authorised users of registered charities. You must keep your login details secure and notify us promptly if you suspect unauthorised access. You are responsible for the accuracy of the information you enter into Compass, including your charity profile, documents and contact details, and for all activity under your account.

3. Acceptable use

You must not misuse Compass. In particular, you must not:

  • use the service for any unlawful, fraudulent or misleading purpose, including submitting false information to funders;
  • send spam, or upload malware or any harmful code;
  • infringe the intellectual property or privacy rights of anyone else;
  • probe, scan, scrape or otherwise interfere with the security or integrity of the service; or
  • reverse engineer, resell, redistribute or circumvent technical limits of the service.

We grant you a limited, non-exclusive, non-transferable right to use Compass within your chosen plan for your own charity's purposes.

4. Intellectual property

Funky Monkey Barry Ltd owns all intellectual property in the Compass service, including its software, templates, documentation, branding and funder research. Nothing in these terms transfers that ownership to you. You keep ownership of the content and documents you upload, and grant us a limited licence to host and process them solely to provide the service, including drafting and submitting applications you approve.

5. What Compass provides

Compass recommends grant opportunities and, for subscribed users, supports the preparation, submission and tracking of grant applications. Recommendations are based on the information you supply. We do not guarantee that any recommendation will lead to a successful application, that any funder will approve an application, or that any grant will be awarded. The service is provided without any guarantee that it will be uninterrupted or error-free, and to the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

6. Subscription, payment and refunds

The Compass subscription is billed monthly at £199 (plus applicable tax). Subscriptions renew automatically each month until cancelled, and fees are charged in advance to your chosen payment method. You may cancel at any time with one month's notice; access continues until the end of the paid billing period in which cancellation takes effect.

Payments are processed by Stripe on our behalf. Funky Monkey Barry Ltd is the seller of record for all orders and handles customer service, cancellations and refunds. Card details are entered directly into Stripe's secure checkout and are never stored by us. Stripe's processing of your payment is also governed by Stripe's terms.

We offer a 30-day money-back guarantee — see our Refund Policy. On 12-month subscriptions, if you receive less grant funding than the fees you have paid in the corresponding year, we will refund the difference in cash on request.

7. Limitation of liability

To the fullest extent permitted by law, Compass and its operator, employees, agents and advisers accept no liability for any loss, damage or disappointment arising from or connected with:

  • a grant application being rejected, unsuccessful or not submitted in time;
  • any funder changing its criteria, deadline or availability;
  • any error, omission or inaccuracy in any grant opportunity or funder information shown in Compass;
  • any delay, interruption or unavailability of the portal; or
  • any reliance placed on recommendations, advice or information provided through Compass.

We exclude liability for indirect, consequential or special loss, including loss of profits, data or goodwill. Our total aggregate liability is limited to the fees you paid in the 12 months before the claim. Compass is a research and support tool, not a guarantee of funding. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

8. Suspension and termination

We may suspend or terminate your access, with notice where reasonably practicable, for material breach of these terms, non-payment of fees, suspected fraud or a security risk, or repeated or serious policy violations. You may close your account at any time. On termination your access ends and, on request within 30 days, we will provide a copy of your charity profile and documents before deleting or anonymising data in line with our Privacy Notice.

9. Data and confidentiality

Your charity's data is stored securely and used only to provide the Compass service. We do not share your information with funders or third parties without your consent, except as required to operate the service (including Stripe as our payment processor) or comply with law. 10. Governing law and general

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. You may not assign these terms without our consent; we may assign them as part of a merger, acquisition or business transfer. Neither party is liable for failure to perform due to events beyond its reasonable control. You indemnify us against claims arising from your content, unlawful use of the service, or breach of these terms.

11. Changes to these terms

We may update these terms from time to time. Continued use of Compass after changes are posted constitutes acceptance of the updated terms.
